Terms of Service
These Terms govern access to and use of DUHosting domains, hosting, VPS, email, security, backup, licensing and related services supplied by WADUDUH Technologies LTD.
WADUDUH Technologies LTD, trading as DUHosting.
Services are normally prepaid. Displayed prices exclude VAT unless expressly stated otherwise.
Keep account, domain, security and backup arrangements accurate and current.
1. Agreement and contracting parties
These Terms of Service, together with the order, service description, Acceptable Use requirements, Privacy Notice and any written service-specific terms, form the agreement between WADUDUH Technologies LTD, trading as DUHosting ("DUHosting", "we", "us" or "our"), and the person or organization ordering or using the Services ("Customer", "you" or "your").
By placing an order, creating an account, renewing a Service or continuing to use a Service after these Terms take effect, you confirm that you have read and accepted the Agreement. If you act for an organization or another person, you warrant that you have authority to bind them.
Nothing in these Terms removes a right or remedy that cannot lawfully be excluded under applicable Tanzanian law.
2. Eligibility, accounts and authorized users
- You must be at least 18 years old and legally capable of entering a contract.
- You must provide accurate, current and complete identity, contact, billing and domain-registration information and keep it updated.
- You are responsible for activity by account users, employees, contractors, resellers and anyone using your credentials or Services.
- You must protect passwords, API keys, control-panel credentials and multi-factor authentication methods and notify us promptly of suspected compromise.
- We may request proportionate identity, authority, address, payment or fraud-verification information before or after activation.
We may reject an order where information is incomplete, verification fails, capacity is unavailable, the order presents unacceptable fraud or security risk, or fulfilment would breach law, registry policy or supplier terms.
3. Orders, activation and service descriptions
An order is an offer to purchase. Acceptance occurs when DUHosting confirms the order or activates the Service. Automated acknowledgement of an order or payment does not require us to accept an order that cannot lawfully or technically be fulfilled.
The service description, resource allocation, billing cycle and price shown in the accepted order form part of the Agreement. Features described as free, unlimited or included remain subject to technical limits, fair use, supplier rules and the intended purpose of the plan. We may use equivalent infrastructure or software where it does not materially reduce the contracted Service.
4. Domain registration, renewal and transfer
Domain Services are subject to the rules, eligibility requirements and dispute policies of the relevant registry, registrar and Tanzania Network Information Centre where applicable. Those rules are incorporated into the Agreement for the affected domain.
- A search result or order does not guarantee registration. A domain is secured only when the registry confirms successful registration.
- You authorize us to submit required registrant and contact information to registries, registrars and providers and warrant that the information is accurate and lawfully supplied.
- You are responsible for choosing the domain, avoiding infringement of another person's rights and responding to registry verification or eligibility requests.
- Renewal reminders are a courtesy. You remain responsible for monitoring expiry dates, keeping contact details current and paying renewal invoices in time for processing.
- Renewal, restoration or redemption after expiry is not guaranteed and may attract registry or administrative fees.
- Registration, renewal, redemption, transfer, premium-domain and registry fees are non-refundable once submitted or incurred, except where law requires otherwise or fulfilment fails before submission.
- A transfer depends on registry eligibility, authorization, domain lock status, transfer codes and the cooperation of the losing provider. We do not guarantee completion by a particular date.
We may suspend or comply with a registry action affecting a domain where required by policy, court order, lawful authority, dispute provider or abuse procedure.
5. Hosting, reseller and VPS Services
Shared hosting is for active websites, applications and email within the purchased plan. Reseller hosting permits resale only within the reseller plan and makes the reseller responsible for its customers and first-line support. VPS customers are responsible for system administration, patching, application security and licensing unless a managed service expressly includes those tasks.
Resource allocations may include storage, CPU, memory, processes, inodes, bandwidth, email limits, database usage and IP addresses. "Unlimited" means no fixed advertised transfer quota for ordinary use; it does not permit activity that degrades other customers, circumvents technical controls or uses shared hosting primarily as an archive, public file-distribution node, proxy, compute cluster or backup repository.
We may throttle, isolate, require an upgrade or suspend resource use that threatens performance, security or service availability. Dedicated IP requests may require technical justification and remain subject to availability and internet-numbering rules.
6. Email, productivity, certificates and third-party products
Business email, Google Workspace, Microsoft 365, SSL certificates, SiteLock, control panels, software licences and similar products may be supplied or licensed by third parties. Their licence, acceptable-use, privacy, support, suspension and renewal terms also apply. Supplier changes may affect features, price, availability or compatibility.
You must not use email Services for unsolicited bulk messaging, purchased lists, phishing, impersonation, malware delivery or conduct that harms sender reputation. Delivery is not guaranteed because recipient systems and reputation providers apply independent controls.
Certificate issuance depends on validation and certificate-authority rules. You are responsible for correct domain control, installation, renewal and use unless a written managed service states otherwise.
7. Customer content and licences
You retain ownership of content you upload, transmit or store. You grant DUHosting and its infrastructure providers a limited, non-exclusive right to host, copy, transmit, cache, back up, scan, migrate and otherwise process that content only as reasonably necessary to provide, secure, support and comply with law for the Services.
You warrant that you have the rights and lawful basis needed for the content and its processing. You are responsible for websites, transactions, data, code and users operated through your Services. We do not become the publisher or owner of Customer content merely by hosting it.
8. Acceptable use
You must not use or allow the Services to be used for:
- Unlawful content or activity, fraud, theft, deception, sanctions evasion or infringement of intellectual-property, privacy or other rights.
- Child sexual abuse material, non-consensual intimate material, exploitation, credible threats or content whose possession or distribution is unlawful.
- Spam, email harvesting, phishing, spoofing, credential theft or misleading sender identity.
- Malware, ransomware, botnets, command-and-control systems, unauthorized cryptomining or distribution of malicious code.
- Unauthorized access, scanning, denial-of-service attacks, interception, password attacks or interference with a network, system or user.
- Open proxies, anonymizers or public file distribution that create disproportionate risk or resource use, unless expressly authorized for the relevant plan.
- Activity that damages IP reputation, causes blocklisting, generates abuse complaints or materially affects other customers.
- Attempts to bypass quotas, billing, licensing, authentication, suspension or security controls.
We may investigate credible abuse reports, preserve relevant records, require remediation, remove or disable unlawful material, block traffic or suspend affected Services. Where practical and safe, we will give notice and a reasonable opportunity to correct a remediable issue. Immediate action may be taken where necessary to protect people, systems, evidence, legal compliance or other customers.
9. Security and Customer responsibilities
DUHosting applies safeguards appropriate to our role, but Customer security is shared. You must maintain supported software, apply patches, secure scripts and plugins, use least-privilege permissions, protect devices and credentials, review logs and remove compromised content.
We may monitor infrastructure, logs and traffic metadata to operate and secure the Services, detect abuse, investigate incidents and comply with law, as described in the Privacy Notice. Security controls may automatically block an IP, protocol, port, message or account presenting risk. Contact support if legitimate access is affected.
10. Privacy, data processing and international infrastructure
Our Privacy Notice explains how WADUDUH Technologies LTD handles personal data. For account, billing, security and business administration data, we generally act as a data controller. For Customer-controlled website, database, email, VPS and backup content, we may act as a processor and the Customer remains responsible for lawful instructions, notices, rights requests and sector requirements.
Depending on the Service, data may be stored, backed up, routed through or technically accessed from data centres and providers in Tanzania, Europe, the United States or other locations required by registries and global service providers. Applicable safeguards and approvals are described in the Privacy Notice. A particular hosting country is guaranteed only where expressly stated in the order or a written service agreement.
11. Fees, VAT, currency and payment
- Services are normally billed in advance for the selected period.
- Displayed prices are exclusive of VAT unless expressly stated otherwise. Applicable VAT, tax or statutory charges are added to the invoice.
- You must pay invoices by the due date using an available payment method. Bank, mobile-money, card, currency-conversion and intermediary fees may be borne by the payer unless stated otherwise.
- Account credit may be applied only in accordance with WHMCS billing rules and is not cash unless required by law or expressly agreed.
- We may correct an obvious pricing or configuration error before activation and will offer cancellation and refund of the affected unfulfilled item if you do not accept the correction.
- Promotions apply only under their published conditions and normally do not change the renewal price.
Prices may change because of supplier, registry, licence, exchange-rate, tax or infrastructure changes. We will provide reasonable advance notice of a material recurring-price change where practicable. The new price applies at the next renewal unless a supplier or registry change must take effect sooner.
12. Renewals, late payment and expiration
Where auto-renewal or automatic payment is enabled, you authorize the applicable renewal workflow until it is disabled or the Service is cancelled. Auto-renewal settings do not guarantee successful payment or registry renewal. You must review invoices and maintain a valid payment method.
Unpaid Services may be restricted, suspended or terminated after the due date and any stated grace period. Reactivation may require cleared payment and may incur a reasonable restoration fee. Expired domain and third-party licence timelines are controlled by the supplier or registry and may be shorter than hosting suspension periods.
13. Cancellation and refunds
Cancellation must be submitted through the authenticated client area or another method accepted by support. Unless a written offer states otherwise, cancellation stops future renewal but does not retrospectively refund a period already supplied.
Domain registration, renewal, redemption and transfer fees; SSL certificates; software and productivity licences; setup work; migration work; and other third-party or custom costs are non-refundable once submitted, issued, allocated or performed, except where required by law.
A hosting refund, service credit or money-back period applies only when expressly included in the relevant order or written offer and remains subject to its stated eligibility conditions. Approved refunds are returned through a lawful available method and may exclude consumed resources, third-party costs, taxes that cannot be recovered and payment-provider charges where legally permitted.
This section does not limit statutory rights or remedies for Services not supplied with reasonable care, not delivered as agreed, or otherwise covered by mandatory law.
14. Suspension and termination
We may suspend or terminate some or all Services for non-payment, material or repeated breach, fraud, security risk, abuse, unlawful use, registry or supplier action, threat to infrastructure or failure to complete required verification. Action should be proportionate to the risk and may be limited to the affected Service where practical.
You remain responsible for charges incurred before termination and non-cancellable supplier commitments. Following termination, content may be deleted in accordance with the service lifecycle, supplier rules, backup rotation and legal retention duties. You must export needed data before cancellation or expiry. We do not guarantee recovery after deletion.
15. Support, maintenance and migrations
Support scope and hours depend on the plan. Support assists with DUHosting Services and reasonable diagnosis; it does not automatically include website development, third-party application repair, device administration, security cleanup, data entry or system management unless purchased.
We may perform planned or emergency maintenance and will provide notice where practical. Migration assistance is subject to source access, compatibility, size, security and scheduling. Unless expressly guaranteed in writing, migration timing and complete compatibility are not guaranteed. You must retain an independent source copy until migration is verified.
16. Backups and data recovery
A backup exists only where the order expressly includes an active backup Service. Backup frequency, retention, storage location and restore scope are those stated in the plan. Backups may fail because of corruption, application behaviour, credentials, quota, network or provider events.
You remain responsible for maintaining and testing independent backups appropriate to your risk. A DUHosting backup is not a substitute for your own business-continuity plan. Restore requests are subject to available recovery points and may incur charges where not included in the plan.
17. Availability and service credits
We aim for reliable Services but do not promise uninterrupted availability. Any uptime commitment or service-credit remedy applies only when stated for the relevant plan. Planned maintenance, Customer acts, application faults, attacks, upstream failures, force majeure, registry/provider events and suspensions permitted by the Agreement may be excluded from an uptime calculation.
A service credit is not cash and is normally the exclusive financial remedy for failure to meet an expressly stated service level, except where mandatory law provides otherwise.
18. Intellectual property
DUHosting and supplier software, documentation, branding and website content remain owned by WADUDUH Technologies LTD or the relevant licensors. We grant only the limited rights needed to use the purchased Service during the active term. You must comply with licence limits and must not copy, reverse engineer, resell or bypass licence controls except where the plan or law expressly permits it.
19. Warranties and disclaimers
We will provide the Services with reasonable care and skill and substantially as described in the accepted order. Except for express commitments and rights that cannot lawfully be excluded, Services are provided on an "as available" basis. We do not warrant that every application will be compatible, every message will be delivered, every threat will be prevented, or every backup or transfer will be recoverable.
Third-party products remain subject to supplier performance and warranties. We will reasonably assist with a supplier issue within our reseller role but cannot promise a remedy beyond rights available from the supplier or mandatory law.
20. Limitation of liability
Nothing in the Agreement excludes liability that cannot lawfully be excluded, including liability arising from fraud, wilful misconduct or another category protected by mandatory law.
To the maximum extent permitted by law, neither party is liable for indirect, special or consequential loss, loss of anticipated profit, loss of business opportunity or loss caused by the other party's failure to maintain required backups. DUHosting's aggregate liability arising from an affected Service is limited to the fees paid for that Service during the six months immediately before the event giving rise to the claim, unless a written service agreement states a different limit.
The limitations apply only to the extent reasonable and lawful, taking account of the nature of the Service and claim.
21. Customer indemnity
To the extent permitted by law, you will indemnify WADUDUH Technologies LTD against a third-party claim, regulatory demand, loss or reasonable cost arising from unlawful Customer content, infringement, your breach of the Agreement or misuse of the Services. We will notify you of a material claim and allow reasonable participation in the defence, provided this does not restrict urgent protective or legal action.
22. Lawful requests and complaints
We may preserve or disclose records and take action where required by a valid court order, registry process, regulator, law-enforcement request or other lawful authority. We assess requests within applicable law and do not promise notice where notice is prohibited or would create material risk.
Service complaints should first be submitted through the client area or the contact below with the account, invoice, domain or Service concerned. Privacy complaints are handled under the Privacy Notice.
23. Changes to Services and Terms
We may update these Terms to reflect law, regulation, registry rules, supplier terms, security needs or service changes. Material changes will be posted with a new effective date and, where appropriate, communicated through the client area or registered contact details. A change will not retrospectively remove an accrued right unless law permits it.
If a material change adversely affects a recurring Service and is not required immediately by law or a supplier, you may cancel the affected Service before the change takes effect. Non-refundable committed third-party charges remain payable.
24. Governing law and disputes
The Agreement is governed by the laws of the United Republic of Tanzania. The parties will first attempt in good faith to resolve a dispute through written notice and management escalation. If it is not resolved within a reasonable period, either party may use a competent Tanzanian court or another dispute-resolution method agreed in writing.
Consumers and data subjects may also use any regulator, Commission, tribunal or complaint mechanism available under applicable law.
25. General provisions
- Force majeure: neither party is liable for delay caused by events beyond reasonable control, except that payment obligations already due remain payable.
- Assignment: you may not transfer the Agreement without consent. We may assign it as part of a lawful restructuring or business transfer while preserving applicable rights.
- Subcontracting: we may use providers to perform Services and remain responsible for our obligations subject to supplier-specific terms.
- Severability: an invalid provision will be limited or removed without invalidating the remainder.
- No waiver: delay in enforcing a right is not a waiver.
- Priority: a signed service agreement or explicit order term prevails over these general Terms for the conflicting subject. Supplier terms prevail only for the relevant third-party product.
- Entire agreement: the Agreement is the entire agreement for the Services and replaces earlier statements on the same subject, except fraud or mandatory rights.
